DEFINITIONS AND KEY TERMS

To help explain things as clearly as possible in this End-User License Agreement, every time any of these terms are referenced, they are strictly defined as:
Company: when this Agreement mentions "Company," "we," "us," or "our," it refers to Parseley Developer, that is responsible for the Application under this Agreement.
Country: where Parseley Developer or the owners/founders of Parseley are based — in this case, United States.
Device: any internet-connected device such as a phone, tablet, computer, or any other device that can be used to access and use Parseley.
Service: refers to the Parseley mobile application provided by Parseley Developer.
Application (the "App"): refers to Parseley, the software mobile application provided by Parseley Developer.
You: a person or entity that accesses or uses the Application.

INTRODUCTION

This End-User License Agreement (the "Agreement") is a binding legal agreement between you ("End User," "you," or "your") and Parseley Developer ("Company," "we," "us," or "our"). This Agreement governs your use of the Parseley mobile application (the "Application").

By downloading, installing, accessing, or using the Application, you: (a) affirm that you have all necessary permissions and authorisations to access and use the Application; (b) acknowledge that you have read and understand this Agreement; (c) represent that you are of sound mind and of legal age (18 years of age or older) to enter into a binding agreement; and (d) accept and agree to be legally bound by the terms and conditions of this Agreement.

If you do not agree to these terms, do not download, install, access, or use the Application. If you have already downloaded the Application, delete it from your device immediately.

The Application is licensed, not sold, to you by Parseley Developer for use strictly in accordance with the terms of this Agreement.

Use by Minors; Parent or Guardian Agreement

This App may be used by individuals under the age of majority, subject to the requirements of this section. If you are under the age of majority in your place of residence, you may use the App only with the permission and supervision of your parent or legal guardian.

By permitting a minor to access or use the App, the parent or legal guardian agrees to this EULA on the minor’s behalf and accepts responsibility for the minor’s use of the App and compliance with this EULA. The parent or legal guardian represents that they have the legal authority to provide this permission and enter into this EULA.

A minor may be asked to confirm that they understand and agree to follow the applicable rules. Any such confirmation is intended as the minor’s assent to the rules of use and does not replace the parent or legal guardian’s agreement to this EULA. If the parent or legal guardian does not agree to this EULA, the minor must not access or use the App.

LICENSE GRANT

Subject to the terms of this Agreement, Parseley Developer grants you a limited, non-exclusive, non-transferable, revocable license to:
Download, install, and use the Application on one (1) compatible device per single-user license.
Access and use the Application solely for your own personal, non-commercial purposes, strictly in accordance with this Agreement.
Receive updates and new features that become available during the period covered by your license to the Application.

FREE AND PAID TIERS

The Application is available both as a free tier and as a paid tier with additional features. Free-tier users are granted a limited license subject to the restrictions of this Agreement. Paid-tier users receive a broader license with access to premium features as described at the time of purchase. Parseley Developer reserves the right to modify the features included in each tier at any time upon reasonable notice.

INTELLECTUAL PROPERTY

All intellectual property rights in and to the Application — including copyrights, patents, trademarks, service marks, trade secrets, know-how, trade dress, trade names, logos, corporate names, domain names, and all derivative works — that are part of the Application or otherwise owned by Parseley Developer shall always remain the exclusive property of Parseley Developer (or its suppliers or licensors, as applicable).

Nothing in this Agreement grants you any license to Parseley Developer's intellectual property rights beyond the limited license set out in this Agreement. Your use of any of Parseley Developer's intellectual property independently of the Application, or outside the scope of this Agreement, shall be considered an infringement of Parseley Developer's intellectual property rights.

Parseley Developer reserves and retains all rights, title, and interest in the Application, including all copyrights, trademarks, patents, and trade secrets, whether registered or unregistered, now in existence or created in the future.

YOUR SUGGESTIONS

Any feedback, comments, ideas, improvements, or suggestions (collectively, "Suggestions") provided by you to Parseley Developer with respect to the Application is given freely with no expectation of credit or compensation.

RESTRICTIONS

You agree not to, and you will not permit others to:

License, sell, rent, lease, assign, distribute, transmit, host, outsource, disclose, or otherwise commercially exploit the Application or make the Application available to any third party without prior written consent from Parseley Developer.
Modify, make derivative works of, disassemble, decrypt, reverse compile, or reverse engineer any part of the Application.
Remove, alter, or obscure any proprietary notice (including any copyright or trademark notice) of Parseley Developer or its affiliates, partners, suppliers, or licensors.
Use the Application to build a competing product or service, or copy any features, functions, or graphics of the Application.
Use the Application for any unlawful purpose or in violation of any applicable local, national, or international law or regulation.

COMMERCIAL USE RESTRICTION

This license permits personal use only. Any commercial use of the Application — including use within a business environment, for client work, or for revenue-generating purposes — requires a separate commercial license from Parseley Developer. Please contact us to obtain a commercial license before using the Application for any commercial purpose.

MODIFICATIONS TO APPLICATION

Parseley Developer reserves the right to modify, suspend, or discontinue, temporarily or permanently, the Application or any service to which it connects, with or without notice and without liability to you.

UPDATES TO APPLICATION

Parseley Developer may from time to time provide enhancements or improvements to the features and functionality of the Application, which may include patches, bug fixes, updates, upgrades, and other modifications ("Updates"). Updates may modify or delete certain features and/or functionalities of the Application. You agree that Parseley Developer has no obligation to provide any Updates, or to continue to provide or enable any particular features and/or functionalities of the Application. All Updates will be deemed to constitute an integral part of the Application and will be subject to the terms and conditions of this Agreement.

NO DERIVATIVE WORKS

You may not modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works based on the Application or any part thereof. All rights not expressly granted in this Agreement are reserved by Parseley Developer.

GEOGRAPHIC RESTRICTIONS

Parseley Developer is based in United States. The Application is made available worldwide. If you use the Application from outside United States, you are solely and exclusively responsible for compliance with all applicable local laws and regulations.

TERM AND TERMINATION

This Agreement shall remain in effect until terminated by you or Parseley Developer. Parseley Developer may, in its sole discretion, at any time and for any or no reason, suspend or terminate this Agreement with or without prior notice.

This Agreement will terminate immediately, without prior notice from Parseley Developer, in the event that you fail to comply with any provision of this Agreement. You may also terminate this Agreement by deleting the Application and all copies thereof from your device.

Upon termination of this Agreement, you shall cease all use of the Application and delete all copies of the Application from your device. Termination will not limit any of Parseley Developer's rights or remedies at law or in equity in case of breach by you during the term of this Agreement.

INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Parseley Developer and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all losses, damages, liabilities, claims, actions, judgments, settlements, interest, awards, penalties, fines, costs, or expenses of whatever kind, including reasonable attorneys' fees, arising from or relating to: (i) your use or misuse of the Application; (ii) your failure to comply with any applicable law, regulation, or government directive; (iii) your breach of this Agreement; or (iv) any content you submit through or in connection with the Application.

NO WARRANTIES

The Application is provided to you "AS IS" and "AS AVAILABLE" and with all faults and defects without warranty of any kind. To the maximum extent permitted under applicable law, Parseley Developer, on its own behalf and on behalf of its affiliates and their respective licensors and service providers, expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including all implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Without limiting the foregoing, Parseley Developer provides no warranty or undertaking, and makes no representation of any kind that the Application will meet your requirements, achieve any intended results, be compatible or work with any other software, applications, systems, or services, operate without interruption, meet any performance or reliability standards, or be error-free.

Some jurisdictions do not allow the exclusion of implied warranties or limitations on applicable statutory rights of a consumer, so some or all of the above exclusions and limitations may not apply to you.

LIMITATION OF LIABILITY

Notwithstanding any damages that you might incur, the entire liability of Parseley Developer and any of its suppliers under any provision of this Agreement and your exclusive remedy for all of the foregoing shall be limited to the amount actually paid by you for the Application.

To the maximum extent permitted by applicable law, in no event shall Parseley Developer or its suppliers be liable for any special, incidental, indirect, or consequential damages whatsoever (including, but not limited to, damages for loss of profits, loss of data or other information, business interruption, personal injury, or loss of privacy arising out of or in any way related to the use of or inability to use the Application), even if Parseley Developer has been advised of the possibility of such damages.

Some states/jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitation or exclusion may not apply to you.

SEVERABILITY

If any provision of this Agreement is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

WAIVER

No failure to exercise, and no delay in exercising, on the part of either party, any right or power under this Agreement shall operate as a waiver of that right or power. Nor shall any single or partial exercise of any right or power under this Agreement preclude further exercise of that or any other right granted herein.

AMENDMENTS TO THIS AGREEMENT

Parseley Developer reserves the right, at its sole discretion, to modify or replace this Agreement at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. By continuing to access or use the Application after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorised to use the Application.

GOVERNING LAW

The laws of United States, excluding its conflicts of law rules, shall govern this Agreement and your use of the Application. Your use of the Application may also be subject to other local, state, national, or international laws.

LIMITATION OF TIME TO FILE CLAIMS

Any cause of action or claim you may have arising out of or relating to this Agreement or the Application must be commenced within one (1) year after the cause of action accrues, otherwise such cause of action or claim is permanently barred.

ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between you and Parseley Developer regarding your use of the Application and supersedes all prior and contemporaneous written or oral agreements between you and Parseley Developer. You may be subject to additional terms and conditions that apply when you use or purchase other Parseley Developer services, which Parseley Developer will provide to you at the time of such use or purchase.

NO EMPLOYMENT OR AGENCY RELATIONSHIP

No provision of this Agreement is intended to create, nor shall it be deemed or construed to create, any relationship between you and Parseley Developer other than that of an end user of the Application and the services provided.

HEADINGS

The headings in this Agreement are for reference only and shall not limit the scope of, or otherwise affect, the interpretation of this Agreement.
